Terms of Service

Business use only

The Services are intended for businesses — distributors, contractors, and resellers. By using a distributor account you represent that you are authorized to act on behalf of your company and to enter into these Terms.

Accounts

You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or fraud risk.

Quotes, orders, and invoices

Quotes and pricing shown in the portal are provided for your business and may change before a quote is accepted. When you accept a quote, we generate an invoice for the purchase order. Acceptance of an order is subject to product availability and our confirmation.

Payment terms

Invoices are issued and paid through QuickBooks. Payments are processed by Intuit via QuickBooks Payments and are subject to Intuit's applicable terms. Card payments are typically captured at the time of payment; bank (eCheck/ACH) payments typically settle within a few business days. You agree to pay all amounts due according to the payment terms shown on the invoice. Unpaid balances may be subject to suspension of service and to any remedies available to us under applicable law.

Shipping and returns

Shipping timelines, custom-fabrication lead times, and return or warranty terms are as communicated on the Services or in your order documentation. Risk of loss passes according to the shipping terms on your order.

Acceptable use

You agree not to:

• Use the Services in violation of any law or regulation.
• Attempt to gain unauthorized access to the Services, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Misuse, resell, or misrepresent pricing or account access granted to your company.

Intellectual property

The Services, including text, graphics, logos, and the Sub Zero Covers brand, are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-transferable right to use the Services for your business dealings with us. You may not copy, modify, or create derivative works except as permitted by these Terms.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except as required by law. Product warranties, if any, are stated separately in your order documentation.

Limitation of liability

To the maximum extent permitted by law, Sub Zero Covers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the order giving rise to the claim.

Changes to the Services or Terms

We may modify the Services or these Terms at any time. We will update the “Last updated” date above, and your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the United States and the state in which Sub Zero Covers, LLC is organized, without regard to conflict-of-laws rules.
